These Terms of Service ("Terms") govern access to and use of VertexIQ Billing (the "Service"), a quotation, invoicing, and billing application provided by VertexIQ Solutions ("VertexIQ", "we", "us"). By creating an account or using the Service, you ("Customer", "you") agree to these Terms on behalf of yourself and the business you represent.
VertexIQ Billing lets a business manage customers, products, quotations, invoices, recurring billing, and related reports, and issues account credentials to that business's admin and any staff logins the admin chooses to create. Each registered business is a separate, isolated account ("Company") - your data is not visible to other Companies using the Service.
You must provide accurate business and contact details at signup, including a working email address, and keep them up to date. You're responsible for everything that happens under your account, including actions taken by staff logins your admin creates and for keeping login credentials confidential. Notify us promptly at info@vertexiqsolutions.com if you suspect unauthorized access.
New accounts get a 30-day free trial with full access to the Service, no payment details required upfront. We may email you as your trial approaches its end. At the end of the trial, the Service locks until you pay for a plan (see Section 4) or we issue a license key. We may extend an individual trial at our discretion.
Paid plans are billed in INR at the rates shown on the payment page at the time of purchase (Monthly and Yearly options), exclusive of any applicable taxes unless stated otherwise. Payments are processed by Razorpay; we never see or store your card, UPI, or bank credentials. A successful payment activates or extends your license for the corresponding period immediately.
Plans do not auto-renew. We do not store your payment details and do not charge you again automatically - each renewal requires you to actively return to the app and complete a new payment. See our Refund & Cancellation Policy for what happens to a license period you've already paid for.
You own the business data you put into the Service - your customers, products, quotations, invoices, and related records. We use it only to operate the Service for you (for example, generating your invoice PDFs, sending emails you've triggered such as invoice delivery or payment reminders, and calculating your reports). We don't sell your data or share it with other Companies.
You agree not to use the Service to:

We aim to keep the Service reliably available but don't guarantee uninterrupted access - maintenance, third-party outages (including our email, payment, and hosting providers), or issues outside our reasonable control can affect uptime. The Service is provided "as is" without warranties of any kind beyond what applicable law requires.
To the maximum extent permitted by law, VertexIQ is not liable for indirect, incidental, or consequential damages arising from your use of the Service (including lost revenue or lost data), and our total liability for any claim is limited to the fees you paid us in the 12 months before the claim arose.
You may stop using the Service at any time (simply don't renew - see Section 4). We may suspend or terminate an account for breach of these Terms, non-payment beyond the trial/licensed period, or suspected fraud or abuse, with notice where reasonably practicable.
We may update these Terms from time to time; the "Last updated" date above will change accordingly. Continuing to use the Service after an update means you accept the revised Terms. For material changes, we'll make reasonable efforts to notify active accounts by email.
These Terms are governed by the laws of India. Any dispute arising from these Terms or the Service is subject to the exclusive jurisdiction of the courts at [Your City/State], India.
